1. Acceptance of Terms

Welcome to HouseFlow, operated by SolvProb.ca ("we", "us", "our"). By accessing or using our asset management platform and services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and HouseFlow, governed by the laws of Canada.

2. Description of Service

HouseFlow provides a comprehensive asset management platform that enables you to:

• Track and manage your assets including properties, equipment, vehicles, and other possessions
• Schedule and monitor maintenance activities with automated reminders
• Analyze costs across multiple dimensions (purchase, maintenance, operation, repair, replacement)
• Connect with qualified service providers for maintenance, repair, and servicing needs
• Generate reports, analytics, and lifecycle cost projections
• Manage hierarchical asset structures with parent-child relationships

Our mission is to provide you with optimal service to solve your asset management problems and keep your possessions in excellent condition.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account. Failure to comply with these requirements constitutes a breach of these Terms and may result in immediate termination of your account.

4. Use License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not:

• Modify, copy, distribute, or create derivative works of the Service or any content
• Use the Service for any commercial purpose beyond managing your own assets
• Attempt to decompile, reverse engineer, or disassemble any software or technology
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use automated systems (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Violate any applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation

5. Data Use and Privacy

Your use of the Service is also governed by our Privacy Policy. By using HouseFlow, you acknowledge and agree that:

• We collect and process your personal information and asset data as described in our Privacy Policy
• Your asset and personal details are kept solely to provide you with optimal service and solve your asset management problems
• We will never sell your personal information to third parties
• We may share relevant information with service providers (contractors, technicians, suppliers) only with your explicit consent to enable them to service your assets
• We may use your contact information to keep you informed about new features, products, and service updates
• All data handling complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian privacy laws

You retain all ownership rights to your data and may export or delete it at any time from the Settings page.

6. Service Provider Connections

HouseFlow facilitates connections between users and service providers. You acknowledge that:

• Service providers are independent contractors, not employees or agents of HouseFlow
• We do not guarantee the quality, safety, or legality of services provided by third parties
• You are responsible for evaluating service providers before engaging them
• Any contracts or agreements are directly between you and the service provider
• We are not liable for any disputes, damages, or losses arising from service provider relationships
• Sharing your asset information with service providers is voluntary and under your control

7. Service Availability and Modifications

We strive to provide continuous, uninterrupted service but do not guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for maintenance, updates, or improvements. We will make reasonable efforts to notify users of significant changes or extended downtime. We are not liable for any modification, suspension, or discontinuation of the Service.

8. User Content and Data

You retain all rights to the content and data you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to:

• Store, process, and display your User Content to provide the Service
• Generate analytics, reports, and insights based on your data
• Back up your data for recovery and continuity purposes
• Share relevant information with service providers as authorized by you

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You must not upload content that infringes intellectual property rights, violates privacy laws, or contains illegal material.

9. Intellectual Property Rights

All content, features, functionality, software, designs, graphics, logos, and trademarks associated with HouseFlow are owned by SolvProb.ca or our licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws. You may not use, reproduce, or distribute any of our intellectual property without prior written consent.

10. Fees and Payment

Certain features of the Service may require payment of fees. We will clearly communicate all applicable fees before charging you. By providing payment information, you authorize us to charge the specified fees. You are responsible for all taxes associated with your use of paid features. We reserve the right to modify our pricing at any time with reasonable notice to existing users.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY CANADIAN LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the quality or suitability of any service providers

You use the Service at your own risk. We do not warrant that the Service will meet your specific requirements or expectations.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CANADIAN LAW, HOUSEFLOW AND SOLVPROB.CA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, data, goodwill, or other intangible losses
• Damages arising from your use or inability to use the Service
• Unauthorized access to or alteration of your data or transmissions
• Actions or omissions of third-party service providers
• Any damages exceeding the amount you paid us in the twelve months preceding the claim

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and whether we were advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you to the extent prohibited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless HouseFlow, SolvProb.ca, and our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of third parties; or (d) your User Content.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. You may terminate your account at any time from the Settings page. Upon termination, your right to use the Service ceases immediately, and we may delete your account and data after a reasonable grace period. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada and the applicable provincial laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, or through the courts of competent jurisdiction in Canada.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform, updating the "Last updated" date, and sending you an email notification. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HouseFlow regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
